ASSISTANT GROUP GENERAL COUNSEL

Based in Woodmead, reporting to and working closely with the Group General Counsel, the incumbent will advise and counsel the business unit leadership team on a broad range of commercial matters, including contracts, employment, intellectual property and mergers and acquisitions, in South Africa and other countries in Africa.

Key responsibilities:
● Take a leading role in counselling specific business units on all legal matters, under the supervision of the Group General Counsel
● Review and comment on proposed contractual terms and conditions, perform a legal risk assessment of commercial transactions and negotiate mutually acceptable standard terms and conditions with existing and prospective clients, with expertise in codified contracts such as NEC and FIDIC
● Review and negotiate post-award changes to contracts (variation orders)
● Ensure compliance and alignment with current employment legislation, advise HR on employment legislation and represent the company in any labour matters
● Develop programmes to educate and counsel business unit leadership teams on commercial matters
● Handle and/or direct business unit litigation, including conducting research, interviewing clients and witnesses
and handling other details in preparation for trial
● Gather evidence in corporate, labour and other cases to formulate defences or to initiate legal action
● Provide immediate answers to questions based on knowledge and experience, without researching the law
● Interpret laws, rulings and regulations for individuals, divisions and business units
● Confer with colleagues with a speciality in the practice area necessary to render advice to divisional leadership teams
● Counsel on basic matters of intellectual property
● Counsel with regards to corporate policies and the impact thereof on commercial transactions
● Participate in the due diligence review of acquisition candidates.

Minimum requirements:
● A South African LLB degree
● Sound business judgement
● Five to eight years of relevant experience within corporate, commercial and litigation practice areas within a corporate environment
● As an admitted attorney to handle legal matters for the Corporation
● Working knowledge of laws and regulations impacting the Corporation
● The ability to communicate effectively, both verbally and in writing
● The ability to utilise creative problem resolution skills to handle client-related or employee-related problems
● The ability to be forward-thinking and handle frequently changing demands
● Strong organisational and time management skills.
